3. Payment Terms:

  • The Client agrees to pay the Designer the agreed-upon fees for the Services as outlined in the project proposal or agreement.
  • Payment terms, including deposit requirements, milestone payments, and final payment deadlines, will be specified in the project proposal or agreement.
  • Late payments may incur interest charges or result in the suspension of Services until payment is received.

4. Intellectual Property:

  • The Designer retains ownership of all intellectual property rights in any design concepts, graphics, or code created as part of the Services.
  • Upon receipt of full payment, the Designer grants the Client a non-exclusive, royalty-free license to use the completed website design for its intended purpose.

5. Revisions and Modifications:

  • The Client is entitled to a reasonable number of revisions and modifications to the design during the project timeline as outlined in the project proposal or agreement.
  • Additional revisions or modifications beyond the agreed-upon scope may be subject to additional fees.

6. Confidentiality:

  • Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
  • The Designer may use the Client’s name and project details for promotional purposes unless otherwise agreed in writing.

7. Termination:

  • Either party may terminate the project with written notice if the other party breaches any material term of these Terms and fails to remedy the breach within a reasonable period.
  • Upon termination, the Client agrees to compensate the Designer for any Services rendered up to the date of termination.

8. Limitation of Liability:

  • The Designer shall not be liable to the Client or any third party for any damages, including but not limited to lost profits, loss of data, or consequential damages arising from the use or inability to use the website design.

9. Governing Law and Jurisdiction:

  • These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].

10. Entire Agreement:
